Welcome to Omega Electronics. The terms "we", "us", "our" and "Omega" refer to Omega Electronics and its affiliated operations in South Africa, as applicable. Omega Electronics operates this store and website, including all related information, content, features, tools, products and services, in order to provide customers with a curated shopping experience for electronics, home appliances, small appliances, accessories and related services. These Terms of Service, together with the policies referenced in them, describe your rights and responsibilities when you access or use our website, online store, physical retail channels, customer service channels, delivery services and any related services offered by Omega Electronics. Please read these Terms carefully. They contain important information about orders, pricing, delivery, returns, warranty, product use, privacy, limitation of liability and dispute handling. By visiting, interacting with or using our Services, creating an account, placing an order, making a purchase, submitting information, or communicating with us through the Services, you agree to be bound by these Terms, our Privacy Policy, our Shipping Policy, our Return and Refund Policy, our Warranty Policy and any other policies displayed on our website from time to time. If you do not agree, you should not use or access the Services. Nothing in these Terms is intended to exclude, restrict or limit any rights that a consumer may have under the South African Consumer Protection Act 68 of 2008, the Electronic Communications and Transactions Act 25 of 2002, the Protection of Personal Information Act 4 of 2013, or any other applicable law.

SECTION 1 - ACCESS AND ACCOUNT

By using the Services, you confirm that you are at least the age of majority in your province or country of residence, or that you have obtained the consent of a parent or legal guardian where required by law. If you allow a minor dependent to use the Services on a device owned, purchased or managed by you, you are responsible for such use. To access certain features, browse our online store or purchase products or services, you may be asked to provide information such as your name, contact details, email address, billing information, payment information and shipping information. You represent and warrant that the information you provide is accurate, current and complete. You are responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account. You must notify us promptly if you become aware of any unauthorised use of your account or any breach of security. You may not transfer, sell, assign or license your account to any other person without our prior written consent. We may suspend or restrict access to an account if we reasonably suspect fraud, misuse, unauthorised activity, breach of these Terms or risk to Omega, our customers or our service providers. 

SECTION 2 - OUR PRODUCTS

We make reasonable efforts to present our products and services accurately in our online store, catalogues, promotional materials and customer communications. However, product images, colours, finishes, dimensions, packaging and displayed features may vary due to screen settings, lighting, photography, product updates, production batches or supplier changes. Product descriptions, specifications, accessories, availability and pricing may be updated, corrected, discontinued or replaced from time to time. We reserve the right to update, improve, substitute, withdraw or discontinue any product at any time, subject to applicable law and any accepted customer order. Where a product is replaced by a newer version or updated model, the replacement may differ in packaging, design, accessories, colour, labelling, software version, control panel, component origin or minor specification, provided that the core product function is not materially reduced unless disclosed. All products must be used strictly in accordance with the user manual, safety instructions, product labels and applicable electrical standards. For appliances, customers must ensure that the product is suitable for the intended voltage, environment, installation location and use case. Unless expressly stated otherwise in writing, products sold through the Services are intended for normal domestic or household use. Commercial, industrial, rental, hospitality, high-volume or abnormal use may be subject to different warranty terms or may be excluded from standard warranty coverage.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase the selected products or services. An order is not accepted until Omega confirms acceptance through an order confirmation, dispatch confirmation, invoice, collection notice or other written confirmation. We must receive and process payment before an order is accepted, unless we expressly agree otherwise in writing. We reserve the right to accept, reject, cancel or limit any order for lawful and reasonable reasons, including suspected fraud, stock unavailability, pricing errors, payment failure, delivery restrictions, product discontinuation, high-risk delivery address, bulk purchase abuse, reseller activity or breach of these Terms. Please review your order carefully before submitting it. After an order has been accepted or prepared for dispatch, we may not be able to accommodate cancellation, amendment, address change or product substitution requests. If we cancel or change an order, we will make reasonable efforts to notify you using the email address, phone number or billing details provided at the time of order. Where payment has already been received and cancellation is not due to your breach or fraud, we will process the applicable refund in accordance with our Return and Refund Policy. Purchases are subject to our Return and Refund Policy and Warranty Policy. Unless expressly agreed in writing, purchases through our consumer channels are for personal or household use and not for commercial resale, export, redistribution or marketplace arbitrage.

SECTION 4 - PRICES AND BILLING

Prices, discounts and promotions are subject to change without notice, subject to applicable law. The price charged for a product or service will be the price in effect at the time the order is placed and confirmed, unless there is an obvious error or the order is cancelled before acceptance. Unless expressly stated otherwise, posted prices may exclude delivery fees, handling fees, installation charges, extended warranty charges, accessories, customs duties, import charges or other third-party charges. Prices will include VAT where required by South African law or will specify how VAT is handled. Prices shown online may differ from prices offered in physical stores, marketplaces, promotional campaigns, trade channels or third-party platforms. Promotions may have separate terms and conditions. If there is a conflict between promotion terms and these Terms, the promotion terms will apply to that promotion only. You agree to provide current, complete and accurate purchase, payment and account information for all purchases. You represent and warrant that you are authorised to use the payment method provided and that charges incurred by you will be honoured by your payment provider. We may use third-party payment processors. Payment processing is subject to the terms, security procedures and privacy practices of those providers. We are not responsible for payment delays, declines, chargebacks, bank fees or payment system failures outside our reasonable control. We may investigate, delay, cancel or refuse to fulfil orders that appear fraudulent, abusive, suspicious or inconsistent with normal consumer purchasing patterns. We may require identity verification, proof of payment, proof of address or other reasonable information before releasing an order.

SECTION 5 - SHIPPING, DELIVERY AND COLLECTION

Delivery and collection are governed by our Shipping Policy, as updated from time to time. Delivery times are estimates and are not guaranteed unless we expressly confirm a guaranteed delivery service in writing. We are not liable for delays caused by couriers, carriers, customs, incorrect addresses, payment verification, stock movement, adverse weather, road disruptions, strikes, riots, load shedding, system failures, force majeure events or any circumstances outside our reasonable control. Risk in the product passes to the customer upon delivery to the nominated address, collection by the customer, collection by a representative authorised by the customer, or handover to the carrier where the customer arranges their own carrier. Where Omega arranges delivery to the customer, title to the product transfers only after full payment is received and cleared, unless otherwise required by law or expressly agreed in writing. Customers must ensure that delivery details are complete and accurate. Failed deliveries, repeated delivery attempts, incorrect addresses, refusal to accept delivery or failure to collect may result in additional fees or cancellation of the order, subject to applicable law. For store collection, warehouse collection or network store collection, the customer may be required to present an order confirmation, valid identification, proof of payment and any other collection requirements communicated by Omega.

SECTION 6 - RETURNS, REFUNDS AND EXCHANGES

Returns, refunds and exchanges are governed by our Return and Refund Policy and applicable South African consumer protection law. Customers may have statutory rights where goods are defective, unsafe, not reasonably durable, not suitable for their ordinary purpose, or not as described. Nothing in these Terms limits such rights. Products returned for change of mind, incorrect purchase, unwanted item, duplicate purchase, gift return or similar reasons must comply with the conditions, timeframes and exclusions set out in our Return and Refund Policy. Products must generally be returned with original packaging, accessories, manuals, warranty cards, proof of purchase and all included items, unless the return relates to a statutory defect claim and packaging is no longer reasonably available. Omega may inspect, test or assess returned products before approving a refund, repair, replacement, credit or rejection. Where a product is found to have been misused, damaged by the customer, altered, incorrectly installed, exposed to unsuitable power supply, opened by an unauthorised repairer or used outside normal conditions, the return or warranty claim may be declined to the extent permitted by law.

SECTION 7 - WARRANTY, REPAIRS AND AFTER-SALES SERVICE

Warranty coverage is governed by our Warranty Policy, the applicable product warranty card, the manufacturer warranty and any statutory rights under South African law. Unless otherwise stated, standard warranty applies only to manufacturing defects arising under normal domestic use during the applicable warranty period. Warranty does not usually cover misuse, negligence, accidental damage, water damage, power surges, voltage fluctuations, incorrect installation, unauthorised repairs, cosmetic wear, consumables, normal wear and tear, commercial abuse or use contrary to the product manual. Omega may choose to repair, replace or refund a defective product in accordance with applicable law, product condition, availability of parts, age of the product and the nature of the defect. Repair times are estimates and may depend on parts availability, supplier response, workload, technical assessment, courier movement and product complexity. Omega will use reasonable efforts to process repair claims efficiently but does not guarantee a fixed repair time unless expressly stated in writing. Customers must not attempt to open, modify, service or repair products unless expressly permitted in the product manual. Unauthorised repairs or modifications may affect warranty coverage and product safety. For products requiring installation, the customer is responsible for ensuring installation is performed safely, correctly and in accordance with the product instructions and applicable standards. Incorrect installation may void warranty coverage where it causes or contributes to the fault.

SECTION 8 - PRODUCT SAFETY AND USE

Customers must use all products responsibly, safely and in accordance with the applicable user manual, warnings, labels and safety instructions. Electrical appliances must be connected only to a suitable power supply and used in appropriate indoor or outdoor environments as specified by the product documentation. Products must not be used with damaged cords, unsuitable adapters, overloaded plugs or unstable electrical supply. Omega is not responsible for damage, injury, loss or failure caused by misuse, neglect, incorrect voltage, power surges, unauthorised modification, incorrect cleaning, unsuitable environment, blocked ventilation, noncompliant installation or use outside the product specifications, except where liability cannot lawfully be excluded. If a product appears unsafe, overheats, emits smoke, sparks, burning smell, abnormal noise or other serious fault, the customer must stop using it immediately and contact Omega customer support.

SECTION 9 - INTELLECTUAL PROPERTY

Our Services, including trademarks, brands, names, logos, text, displays, photographs, images, graphics, product reviews, videos, audio, layout, design, software elements and the selection and arrangement of content, are owned by Omega Electronics, its affiliates, licensors, suppliers or service providers and are protected by applicable intellectual property laws. These Terms permit you to use the Services for personal, lawful, non-commercial use only. You must not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, scrape, store or transmit any material from the Services without our prior written consent, except as permitted by law. Omega Electronics names, logos, product names, service names, designs and slogans are trademarks or trade identifiers of Omega Electronics or its affiliates or licensors. You must not use them without our prior written permission. All other names, logos, product names, service names, designs and slogans appearing on the Services are the property of their respective owners.

SECTION 10 - OPTIONAL TOOLS AND THIRD-PARTY SERVICES 

We may provide access to tools, applications, payment gateways, delivery integrations, review tools, chat features, analytics tools or other services offered by third parties. We do not control such third-party tools and provide access to them on an "as is" and "as available" basis. Your use of third-party tools is at your own risk and may be subject to separate terms, privacy policies and service conditions of the relevant third-party provider. We are not responsible for failures, errors, unavailability, security incidents or losses caused by third-party tools outside our reasonable control. We may introduce, modify, suspend or discontinue features, tools and resources through the Services at any time, subject to applicable law.

SECTION 12 - RELATIONSHIP WITH SHOPIFY

Omega Electronics may use Shopify or other e-commerce technology providers to enable the Services. However, any sale or purchase made through our store is made directly between you and Omega Electronics, unless expressly stated otherwise. By using the Services, you acknowledge that Shopify and other technology providers are not responsible for any aspect of sales between you and Omega Electronics, including product quality, delivery, returns, warranties, injury, damage or loss resulting from purchased products or services, except to the extent required by applicable law or the relevant provider’s own terms.

SECTION 13 - PRIVACY POLICY AND POPIA

Personal information collected through the Services is processed in accordance with our Privacy Policy and applicable privacy laws, including the Protection of Personal Information Act 4 of 2013 (POPIA). If you submit, upload, post, email or otherwise transmit ideas, suggestions, feedback, reviews, photographs, videos, ratings, proposals, plans or other content, you grant Omega a worldwide, perpetual, irrevocable, transferable, sub-licensable and royalty-free licence to use, reproduce, modify, publish, distribute, display and promote such content in any medium for any lawful business purpose, subject to applicable privacy and consumer protection laws. You represent and warrant that you own or have the necessary rights to submit the content, that the content is accurate to the best of your knowledge, and that you have disclosed any compensation, incentive or relationship connected to the content where required by law. We may monitor, edit, reject or remove user content that we reasonably consider unlawful, misleading, offensive, defamatory, abusive, obscene, fraudulent, infringing, spam, irrelevant, harmful or inconsistent with these Terms. You must not submit false reviews, impersonate another person, mislead us or third parties about the origin of content, or upload malware, harmful code or unlawful material.

SECTION 15 - ERRORS, INACCURACIES AND OMISSIONS

Information on the Services may occasionally contain typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, stock availability, specifications or other information. We reserve the right to correct errors, inaccuracies or omissions and to change, update or cancel orders where information is inaccurate, including after an order has been submitted, subject to applicable law and any rights you may have as a consumer. Where an obvious pricing, promotional or product information error occurs, we may cancel or correct the affected order and refund any amount paid, unless otherwise required by law.

SECTION 16 - PROHIBITED USES

You may access and use the Services only for lawful purposes. You must not use the Services directly or indirectly for any unlawful, fraudulent, abusive, harmful or malicious purpose; to violate applicable law; to infringe intellectual property rights; to harass or harm any person; to transmit false or misleading information; to send spam; to impersonate another person or entity; or to interfere with the operation, security or integrity of the Services. You must not upload viruses, malware or malicious code; reproduce, duplicate, copy, scrape, extract, sell, resell or exploit any portion of the Services; collect or track personal information of others; use bots, spiders, scrapers, data extraction tools, automated purchasing systems or unauthorized AI agents; bypass security measures; circumvent robots.txt or access restrictions; or engage in conduct that may harm Omega, Shopify, our service providers or users. SECTION 17 - AGENTS, AUTOMATION AND AI TOOLS

This section applies if you use, allow, enable or cause the deployment of an Agent to access, use or interact with the Services. "Agent" means any software, script, bot, crawler, service, artificial intelligence tool or automated system that takes autonomous or semi-autonomous action on behalf of a person or entity. No Agent may access, use or interact with the Services unless it clearly identifies itself, complies with all access restrictions and does not conceal or misrepresent its automated nature. Agents must not mimic human behaviour to avoid detection, complete or bypass CAPTCHAs or other human verification measures, ignore instructions intended to limit automated access, overload systems, scrape content, harvest data, perform unauthorised price monitoring, submit orders without authority, or interfere with the Services. We may block, restrict, rate-limit, monitor or take technical measures against any Agent or automated access at any time. 

SECTION 18 - TERMINATION

We may terminate these Terms or suspend, restrict or terminate your access to the Services, or any part of them, at our discretion where permitted by law, including where we reasonably believe you have breached these Terms, engaged in fraud, abused our policies, created legal or operational risk, or misused the Services. You remain liable for all amounts due up to and including the date of termination. The sections dealing with intellectual property, feedback, privacy, product use, payment obligations, warranty limitations, disclaimers, limitation of liability, indemnification, severability, waiver, entire agreement, assignment, governing law and any other provisions that by their nature should survive termination will continue to apply after termination.

SECTION 19 - DISCLAIMER OF WARRANTIES

Information presented through the Services is made available for general information purposes. We make reasonable efforts to keep information accurate and current, but do not warrant that all information will be complete, accurate, current, uninterrupted or error-free at all times. Except as expressly stated by Omega, the Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, representations or conditions not expressly stated in these Terms, the applicable product warranty, or applicable law. Nothing in this section limits statutory warranties, consumer guarantees or rights that cannot lawfully be excluded under the Consumer Protection Act or other applicable laws. Products are covered only by the warranties expressly provided by Omega, the manufacturer, the product warranty card, our Warranty Policy and any mandatory rights under applicable law. No employee, agent, reseller or third party may extend or modify warranty obligations unless confirmed in writing by Omega.

SECTION 20 - LIMITATION OF LIABILITY

To the fullest extent permitted by law, Omega Electronics and its directors, officers, employees, affiliates, agents, contractors, suppliers, service providers and licensors will not be liable for indirect, incidental, special, punitive or consequential damages, including loss of profits, loss of revenue, loss of savings, loss of data, business interruption, replacement costs or similar damages arising from your use of the Services or products purchased through the Services. Omega is not responsible for loss or damage caused by incorrect installation, misuse, negligence, unauthorised repairs, unsuitable power supply, power surges, water damage, physical damage, failure to follow instructions, commercial abuse, third-party services, carrier delays, customer-provided incorrect information or circumstances outside our reasonable control, except where liability cannot lawfully be excluded. Where liability cannot be fully excluded, Omega’s liability will be limited to the remedies required by applicable law or, where legally permitted, to repair, replacement, refund or the amount paid for the affected product or service. Nothing in these Terms excludes liability for fraud, gross negligence, wilful misconduct, death or personal injury where such exclusion is not permitted by law, or any liability that cannot be excluded under South African law.

SECTION 21 - INDEMNIFICATION

You agree to indemnify, defend and hold harmless Omega Electronics, Shopify where applicable, and our affiliates, partners, directors, officers, employees, agents, contractors, licensors, suppliers and service providers from losses, damages, liabilities, claims, costs and expenses, including reasonable attorneys’ fees, arising out of or related to your breach of these Terms, your misuse of the Services, your violation of law or third-party rights, your fraudulent activity, or your unauthorised use of products, content, accounts or systems.  We will notify you of any indemnifiable claim where reasonably possible. Failure to notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defence and settlement of such claim at your expense, provided that we will not agree to non-monetary obligations on your behalf without your consent, not to be unreasonably withheld.

SECTION 22 - FORCE MAJEURE

Omega will not be liable for delay or failure to perform obligations caused by events outside our reasonable control, including natural disasters, fire, flood, pandemic, epidemic, strikes, labour disputes, riots, civil unrest, war, terrorism, government action, import or customs delays, port congestion, courier failure, supplier shortages, power failures, load shedding, telecommunications failures, cyber incidents, system outages or other force majeure events. Where a force majeure event affects an order or service, we will take reasonable steps to notify affected customers and resume performance when reasonably possible.

SECTION 23 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, void or unenforceable, that provision will be enforceable to the fullest extent permitted by law, and the unenforceable portion will be deemed severed from these Terms. The remaining provisions will remain valid and enforceable.

SECTION 24 - WAIVER AND ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision. These Terms, together with any policies, notices, product terms, promotion terms and operating rules posted by us on the Services, constitute the entire agreement between you and Omega regarding your use of the Services and purchases made through them, and supersede prior or contemporaneous communications relating to the same subject matter. Any ambiguities in the interpretation of these Terms will not be construed against the drafting party.

SECTION 25 - ASSIGNMENT

You may not delegate, transfer or assign these Terms or any rights or obligations under them without our prior written consent. Any attempted transfer without consent will be null and void. We may transfer, assign or delegate these Terms and our rights and obligations to an affiliate, successor, purchaser of assets, service provider or business partner where legally permitted and where such transfer does not unlawfully reduce your consumer rights.

SECTION 26 - GOVERNING LAW AND DISPUTES

These Terms and any separate agreements under which Omega provides the Services or sells products to you shall be governed by and construed in accordance with the laws of the Republic of South Africa. Subject to any mandatory consumer rights, dispute resolution rights, jurisdictional rights or remedies available under South African law, the parties consent to the jurisdiction of the courts of the Republic of South Africa, including the Gauteng Division of the High Court of South Africa where applicable. Before commencing formal proceedings, the parties should make reasonable efforts to resolve disputes through customer support escalation, written communication, assessment of relevant documents and, where appropriate, reasonable settlement discussions. This does not limit any urgent legal remedy or statutory consumer complaint procedure available to either party.
